1. Acceptance of Terms

By accessing medicalbillingsolutions.ai or engaging Pono Medical Billing Solutions ("Pono," "we," "us") for services, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the site or services.

2. Services

Pono provides medical billing, claims management, compliance monitoring, and revenue cycle services to healthcare practices. The specific scope of any engagement is defined in a separate written services agreement and, where applicable, a HIPAA Business Associate Agreement (BAA).

3. Eligibility

You represent that you are at least 18 years old and authorized to enter into agreements on behalf of any entity you represent.

4. Client Responsibilities

• Provide accurate, complete, and timely information needed to perform services.
• Maintain appropriate licensure, credentialing, and payer contracts.
• Ensure lawful authority to share patient information with Pono under HIPAA.

5. Fees & Payment

Fees, billing cycles, and payment terms are set forth in your services agreement. Late payments may incur interest and result in suspension of services.

6. Confidentiality & PHI

Each party agrees to protect the other's confidential information. Protected Health Information is governed by the BAA and applicable law (HIPAA/HITECH).

7. Disclaimers

Pono does not guarantee specific financial outcomes, reimbursement amounts, or claim approval rates. Services are provided "as is" without warranties of any kind, express or implied, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Pono's total liability arising out of or related to the services shall not exceed the fees paid by the client to Pono in the three (3) months preceding the event giving rise to the claim. Pono is not liable for indirect, incidental, consequential, or punitive damages.

9. Intellectual Property

All site content, software, dashboards, and methodologies are owned by Pono or its licensors. You receive a limited, non-exclusive, non-transferable license to use them solely as part of the services.

10. Termination

Either party may terminate the engagement as provided in the services agreement. Upon termination, Pono will return or destroy PHI in accordance with the BAA.

11. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law principles.

12. Changes

We may update these Terms from time to time. Continued use of the site or services after changes take effect constitutes acceptance of the revised Terms.
